  • Account Creation: You must provide accurate and complete information during the registration process. You are responsible for maintaining the confidentiality of your account and password.
  • Account Security: You agree to notify us immediately of any unauthorized use of your account. We are not responsible for any losses arising from unauthorized access to your account.

B. Vendor Account:

  • Eligibility: Vendors must be legitimate businesses or individuals legally permitted to sell goods or services through the Platform.
  • Account Creation: To become a vendor, you must provide all required business documentation, including but not limited to your business registration, tax identification number, and product details. The approval of your vendor account is subject to our review.
  • Vendor Responsibilities: Vendors are responsible for the quality, legality, and description of the products listed. Vendors must adhere to applicable local laws and regulations regarding product sales.

C. Delivery Boy Account:

  • Eligibility: Delivery personnel must meet the legal age requirement and possess valid transportation means (e.g., bicycle, motorcycle, or vehicle) to perform delivery services.
  • Account Creation: Delivery personnel must provide personal details and identification documents. Upon approval, they will be granted access to the delivery management system.
  • Delivery Boy Responsibilities: Delivery personnel must adhere to our delivery guidelines, ensuring timely and accurate deliveries while maintaining a professional attitude.

3. Vendor and Customer Relationship

  • Product Listings: Vendors list products on the Platform. Customers can browse these listings, make orders, and complete purchases. All transactions between vendors and customers are conducted through the Platform.
  • Order Processing: Vendors are responsible for fulfilling orders in a timely manner. Customers are responsible for reviewing product descriptions before completing a purchase.
  • Pricing: Vendors set product prices. Prices may change, and customers will be notified of any price adjustments before completing a transaction.

4. Delivery and Shipping Policy

  • Delivery Process: Customers can select from available delivery methods. Delivery personnel will handle the transportation of goods from the vendor to the customer’s specified address.
  • Delivery Fees: Delivery charges may vary based on the shipping distance, delivery method, and other factors. Customers will be notified of any applicable charges before checkout.
  • Delivery Time: Delivery times are estimates and may vary based on availability, distance, and other factors. We make no guarantees regarding delivery timelines, but we strive to ensure timely delivery.
  • Delivery Boy Responsibilities: Delivery personnel must ensure the safe and timely delivery of goods. They must communicate effectively with customers in case of delays or issues.

5. Payment Gateway Policy

  • Payment Methods: The Platform supports various payment methods, including credit/debit cards, bank transfers, and other electronic payment methods.
  • Transaction Processing: Payments for orders are processed securely through a third-party payment gateway. By using our payment services, you agree to the terms and conditions of the payment processor, which may include additional fees and policies.
  • Refunds and Cancellations: Refunds are processed according to our refund policy. Customers can cancel orders under certain conditions, subject to vendor approval and applicable fees. Refunds are issued to the original payment method, and processing times may vary.

6. Prohibited Activities

You agree not to engage in the following activities while using the Platform:

  • Violating any applicable law, regulation, or third-party rights.
  • Using the Platform for fraudulent or illegal purposes.
  • Posting false or misleading product information.
  • Harassing or abusing other users, vendors, or delivery personnel.
  • Attempting to hack, disable, or interfere with the operation of the Platform.
  • Using unauthorized payment methods.

7. Termination of Accounts

We reserve the right to suspend or terminate your account at any time, with or without cause, and without prior notice, if we believe that you have violated these Terms and Conditions. Upon termination, your access to the Platform will be revoked, and you will no longer be able to use the services provided.

8. Intellectual Property

All content on the Platform, including logos, trademarks, text, graphics, images, and software, is the property of Ceed Africa Limited or its licensors and is protected by copyright laws. You may not reproduce, distribute, or use any content without prior written permission.

9. Limitation of Liability

To the fullest extent permitted by law, Ceed Africa Limited is not liable for any damages, losses, or expenses arising out of your use of the Platform, including but not limited to indirect, incidental, or consequential damages. This includes any issues related to the delivery, quality, or availability of products purchased through the Platform.


10. Payment Gateway Policy, Chargebacks, Penalties, Damages, and Other Liabilities

A. Payment Processing

  • Third-Party Payment Gateway
     All payments for products or services purchased through our Platform will be processed through a third-party payment gateway provider. We currently support the following payment methods:
    • Credit/Debit Cards (Visa, MasterCard, American Express, etc.)
    • Bank Transfers
    • Mobile Wallets (e.g., Apple Pay, Google Pay, PayPal)
    • Other electronic payment methods (e.g., Stripe, Square)
  • Payment Gateway Fees
     The payment gateway charges a fee for each successful transaction processed. These fees are typically a percentage of the total transaction amount and may vary by country and payment method. The following are estimated fee structures:
    • Credit/Debit Cards:
      • United States: 2.9% + $0.30 per transaction
      • European Union: 1.4% + €0.25 per transaction
      • India: 2% + ₹10 per transaction
      • Australia: 1.75% + AUD $0.30 per transaction
    • Bank Transfers:
      • United States: $2.00 per transfer
      • United Kingdom: £1.50 per transfer
      • India: ₹10–₹20 per transfer
    • Mobile Wallets (PayPal, Google Pay, etc.):
      • Global (general): 3% + fixed fee depending on the country (e.g., PayPal typically charges 3.49% + a fixed fee per transaction).
  • Currency Conversion Fees
     When payments are made in a currency different from the currency set for your account, a currency conversion fee may apply. The rate is determined by the payment gateway provider and is typically between 2%–3% of the transaction amount. Currency conversion fees may be higher in countries with less commonly used currencies.
  • Payment Security
     We use industry-standard encryption and security protocols (such as SSL and TLS) to protect all payment transactions. However, you acknowledge that the payment gateway provider is responsible for the security of your payment information once it is processed by them.

B. Risk of Chargebacks

  • Chargeback Policy
     A chargeback occurs when a customer disputes a transaction with their bank or payment processor, requesting a reversal of the payment. Chargebacks may arise from reasons such as fraud, non-receipt of goods, or dissatisfaction with the product.
     Chargeback fees are imposed by the payment gateway and the financial institutions involved, and these may differ depending on the country.
  • Chargeback Fees by Country and Payment Gateway
     The chargeback fees imposed on vendors for handling a chargeback can be as follows:
    • United States: $15–$25 per chargeback
    • European Union: €15–€20 per chargeback
    • India: ₹100–₹500 per chargeback
    • Australia: AUD $20 per chargeback
  • These fees will be deducted from the vendor's account in the event of a chargeback.
  • Risk of Chargebacks for Vendors
     Vendors are responsible for mitigating chargebacks and fraudulent transactions. Vendors who experience high chargeback rates (typically above 1% of monthly transactions) may be subject to additional penalties, including suspension or termination of their account.
  • Refund Policy and Chargebacks
     In the event of a chargeback, we encourage customers to first attempt to resolve the issue directly with the vendor. If a chargeback is initiated despite efforts to resolve the dispute, the payment gateway provider may issue a refund to the customer, and the vendor may be responsible for reimbursing the chargeback fees and costs.

C. Penalties and Liabilities

  • Vendor Liabilities for Chargebacks
     Vendors who incur chargebacks due to non-delivery, fraudulent product listings, or failure to resolve disputes may be liable for the chargeback fees and any associated damages. Vendors will be required to reimburse us for any costs or penalties incurred as a result of chargebacks or disputes.
  • Chargeback Penalties
    • United States: Vendors may be penalized with higher fees (up to 3%) on future transactions if they accumulate more than 1% chargebacks in a given month.
    • European Union: Vendors may face a 1% penalty of total sales volume for the month if chargebacks exceed 2% of total transactions.
    • India: Vendors may have their accounts suspended for a period of time if chargebacks exceed 5% of total sales.
    • Australia: Vendors with chargebacks higher than 2% of monthly transactions may be banned from using the platform for 30 days.
  • Reimbursement for Chargeback Fees
     If chargebacks occur due to vendor error or failure to deliver goods or services, the vendor is required to reimburse us for all related fees, penalties, and any legal costs incurred by our platform to resolve the chargeback.
  • Liability for Damages and Harm
     In addition to chargeback fees and penalties, vendors and customers may be held liable for any damages resulting from fraud, violation of these terms, or failure to fulfill their obligations. This includes, but is not limited to:
    • Loss of Reputation: Damage to the Platform's reputation or the vendor's reputation due to fraud, chargebacks, or customer dissatisfaction.
    • Financial Losses: Losses resulting from excessive chargeback rates, customer disputes, or fraudulent transactions.
    • Legal Liabilities: Vendors or customers may be subject to legal action if found to be engaged in fraudulent activity, including misrepresentation or unauthorized use of payment methods.

D. Payment Gateway Termination

  • Suspension of Payment Gateway Services
     We reserve the right to suspend or terminate the use of the payment gateway if fraudulent activity is detected, if these terms are violated, or if the payment gateway provider suspends or terminates its services. In such cases, users may not be able to process payments through the Platform until the issue is resolved.
  • Dispute Resolution
     In the event of a payment dispute, chargeback, or other issue, both customers and vendors are encouraged to first seek resolution through direct communication. If the dispute cannot be resolved, it may be escalated to the payment gateway provider or the relevant financial institution for further action.


11. Governing Law and Dispute Resolution

These Payment Gateway Terms, including all chargeback, penalties, and liability clauses, are governed by the laws of every region. Any disputes arising from these terms, including disputes related to chargebacks, penalties, or payment gateway fees, will be resolved through binding arbitration, unless otherwise required by law.

    • Product/Service Not Received: The customer claims they did not receive the goods or services they paid for.

    • Technical Errors: Errors related to payment processing or double billing.
    • Unrecognized Charges: The customer does not recognize the charge and disputes it as a mistake.
  • Chargeback Fee
